Andrew J. Sherman
is a partner in Brown Rudnick LLP's corporate practice group and co-practice group leader of the firm's emerging growth companies and venture capital group. A recognized authority on the legal and strategic aspects of business growth, his practice is concentrated on domestic and international franchising, mergers and acquisitions, and corporate counseling. Mr. Sherman focuses his practice on issues affecting business growth for companies at all stages, including developing strategies for licensing and leveraging intellectual property and technology assets, intellectual asset management and harvesting, as well as international corporate transactional and franchising matters. He has served as a legal and strategic advisor to dozens of Fortune 500 companies and hundreds of emerging growth companies across a number of diverse industries, including leisure and hospitality, food and beverage, retail, financial services, energy, manufacturing, health and life sciences, sports, entertainment and music. Mr. Sherman has represented U.S. and international clients from early stage, rapidly growing startups, to closely held franchisors and middle market companies, to multibillion-dollar international conglomerates. He also counsels on issues such as franchising, licensing, joint ventures, strategic alliances, capital formation, distribution channels, technology development, and mergers and acquisitions. Mr. Sherman has written nearly 30 books on the legal and strategic aspects of business growth, franchising, capital formation, and the leveraging of intellectual property, most of which can be found on Amazon. He also has published many articles on similar topics and is a frequent keynote speaker at business conferences, seminars, and webinars. Mr. Sherman has appeared as a guest commentator on CNN, NPR, and CBS News Radio, among others, and has been interviewed on legal topics by The Wall Street Journal, USA Today, Forbes, U.S. News & World Report, and other publications. He serves as an adjunct professor in the MBA programs at the University of Maryland, as well as the Georgetown University Law Center. Mr. Sherman is a multiple recipient of the University of Maryland at College Park's Krowe Excellence in Teaching Award.

Michael G. Polis
is of counsel with Wilke Fleury. His practice focuses on Knox-Keene Act licensed health care service plans and insurance regulatory matters. In addition, Mr. Polis provides legal counsel to individuals and business entities on tax, bankruptcy and general corporate-related legal issues. He also teaches contract law and legal writing at U.C. Davis. Mr. Polis was an instructor at California State University, Sacramento, where he taught business ethics. He is a licensed CPA and a member of the State Bar of California, Sacramento County Bar Association and the California Society of Certified Public Accountants. Mr. Polis earned his B.A. degree from the University of California, Los Angeles and his J.D. degree from the University of the Pacific-McGeorge School of Law.

Jeffrey D. Cunningham
is a partner in the Atlanta office Bradley Arant Boult Cummings, where he practices in the areas of mergers and acquisitions, emerging business, and corporate counsel services practice groups. Mr. Cunningham serves as outside general counsel to many growth-phase mid-sized businesses, and concentrates his practice in mergers and acquisitions, commercial transactions, and business advisory matters. He counsels clients from entrepreneurs and start-ups, to large privately held companies through each phase business; choice of entity, business plan development, capital raising, equity and ownership agreements, commercial transactions, and exit strategies. Mr. Cunningham also represents clients in mergers and acquisitions, both buy-side and sell-side, as well as joint ventures and significant financing transactions. He develops strategies on both business and legal aspects of marketing, sales, negotiating transactions and relationships, and corporate governance. Mr. Cunningham advises clients on commercial financing matters and negotiates acquisition financing, private debt and equity financing, and venture capital. He also works with clients across many industries including manufacturing, distribution, business and professional services, staffing, residential and commercial construction, and distribution. In addition to business and transaction counseling, he utilizes his background in federal, state and local taxation, gained while working in two of the Big Four accounting firms to provide advice on effective tax rate minimization, tax compliance, and tax optimized structuring. Mr. Cunningham earned his B.S. degree in economics from Vanderbilt University, his M.B.A. degree from Georgia State University Robinson College of Business and his J.D. degree from Georgia State University College of Law.

Savannah J. Hoover
works as a part-time transactional attorney at Ahr Law Offices PC in Albuquerque, New Mexico. She has worked with entrepreneurs, cannabis professionals, tech startups, sports teams, and creatives to protect their businesses through effective business formation, collaborative contracting, strategic expansion, and thoughtful partnerships. Ms. Hoover graduated from the University of New Mexico with her Juris Doctor and Master of Business Administration degrees and holds an interdisciplinary studies degree in outdoor adventure leadership and journalism. She is a member of the American Bar Association; Cannabis Law Section of the State Bar of New Mexico; Business Law Section of the State Bar of New Mexico; and Intellectual Property Section of the State Bar of New Mexico. During graduate school, Ms. Hoover explored the intersection of technology, business, law, and the creative economy and how to reduce barriers to those spaces for women and BIPOC communities. She holds her license to practice law in the states of New Mexico and Texas.

Benjamin S. Zacks
is the founding member of the Columbus firm of Zacks Law LLC, where his practice includes representation of businesses and individuals in connection with business formation, restructuring, wealth planning and funding, asset preservation, estate planning and probate, entrepreneurial law, health care practice group law, intellectual property, computers, energy and technology, debt restructuring, taxation, accounting, auditing, asset recovery matters, and international transactions. He has particular real estate experience in acquisitions and dispositions, commercial and residential lease transactions, permanent and construction financing (on behalf of both lenders and borrowers), office and condominium development, syndications, joint ventures, construction and architect contracts, developer representation, title insurance, zoning and land use development, planning services and litigation services at the trial and appellate levels (state and federal), and in arbitration. Mr. Zacks is a graduate of the Harvard Negotiation Project and has lectured to various professional groups on entity selection, professional ethics, taxation, property rights, buying and selling real estate, title insurance, zoning, and land use issues. He earned his B.A. degree from The Ohio State University and his J.D. degree from Capital University Law School. Mr. Zacks is licensed to practice law in Ohio and Arizona, and before the U.S. Tax Court. He is a member of the Columbus, Ohio State, and American bar associations; and State Bar of Arizona.

is a shareholder with Kirton McConkie in Salt Lake City, Utah. He assists companies, entrepreneurs, and investment funds in international and domestic commercial transactions. He has extensive experience guiding clients to creative and pragmatic solutions in their mergers and acquisitions, joint ventures, financings, and foreign direct investments. His global clientele spans Asia, Europe, the Middle East, Africa, and the Americas. Jonathan has worked and consulted in the U.S., Asia, and South America, and he is fluent in Chinese and Cantonese and is working toward Spanish fluency. He is passionate about diving deep into cutting-edge industries and difficult markets to make sense of the chaos in those fast-paced and often murky legal environments. He represents a variety of manufacturers, brokers, and retailers in their global supply chain structuring and restructuring projects, typically involving China or nearshoring away from China to Southeast Asia and Latin America.
