Alfonso M. Vilaboa
is Senior Counsel at Miller Shah LLP in the New York office. Alfonso is an international business lawyer with experience in corporate law, mergers and acquisitions, and private equity. He has advised a wide-range of public and private companies, both in the United States and abroad. His experience includes representing companies in strategic sell-side mergers and acquisitions, as well as private equity funds in their leveraged buyout acquisitions of portfolio companies, and senior and mezzanine debt transactions in a variety of different industries. Private equity clients appreciate Alfonso's strong knowledge of financial modeling and unique strength in financial statement reviewing, which allows him to understand deals from a business and financial perspective and to facilitate coordination and synergies with the legal review. Prior to joining the firm, Alfonso worked as an attorney for the Inter-American Development Bank, the largest development bank for Latin America and the Caribbean, and Posadas, Posadas & Vecino, one of the largest law firms in Uruguay.

Gianfranco A. Pietrafesa
is a partner in the law firm of Archer & Greiner P.C. in Hackensack, New Jersey, where he is a corporate and M&A lawyer. His practice includes business formation, corporate governance, mergers and acquisitions, and protection of business information. Mr. Pietrafesa is a former chairman of the Board of Directors of the Business Law Section of the New Jersey State Bar Association. He served on the select committee that drafted the New Jersey Revised Uniform Limited Liability Company Act, and received the 2012 Distinguished Legislative Service Award from the New Jersey State Bar Association in recognition of his work on and advocacy of the law. Mr. Pietrafesa has lectured extensively on the topics of corporations, LLCs, contract drafting, and legal ethics. He received the2020 Alfred C. Clapp Award for Excellence in Legal Education from the New Jersey Institute for Continuing Legal Education. He has taught the mergers and acquisitions transactional skills course at Seton Hall University School of Law and the business organizations course at Fairleigh Dickinson University. Mr. Pietrafesa is the author of numerous articles on corporate law, LLCs, contract drafting, litigation, and legal ethics. He served on the Editorial Board of New Jersey Lawyer Magazine for 15 years. Mr. Pietrafesa earned his J.D. degree from Seton Hall University School of Law, where he was an editor of the Seton Hall Legislative Journal; and his B.S. degree in accounting, summa cum laude, from Fairleigh Dickinson University.

Sherilyn Pastor
is a partner with McCarter & English, LLP, and is also the practice leader of the insurance recovery group. She is an experienced trial attorney, who has secured hundreds of millions of dollars for corporate policyholders. Ms. Pastor litigates complex coverage matters throughout the country and provides insurance advice to clients assessing their potential risks, analyzing new insurance products, and considering the adequacy of their insurance programs. She is president of the American College of Coverage Counsel (ACCC), the preeminent membership group of insurance attorneys in the U.S. and Canada, and immediate past co-chair of the ABA Litigation Section's Insurance Coverage Litigation Committee. Ms. Pastor is admitted to practice in New Jersey, New York, and before the U.S. Court of Appeals Third Circuit; U.S. District Courts of New Jersey, and Eastern and Southern districts of New York. She earned her B.A. degree, cum laude, from Seton Hall University and her J.D. degree, magna cum laude, from Seton Hall University School of Law.

John J. Marinan
is an attorney in Navesink, New Jersey. He has extensive exposure to complex litigation, securities arbitration and fraud detection. Mr. Marinan's major strengths in securities litigation/arbitration, fraud investigation, risk assessment and avoidance, and pretrial discovery with primary focus on the detection of internal/external fraud and the researching and arrangement of complex legal issues. His practice primarily concentrates on complex fraud and securities litigation/arbitration, including, but not limited to; sale of unregistered securities, blue sky violations, secondary liability claims, conduct rule violations, suitability, churning, annuity switches, consumer fraud, fraud detection, restitution, and federal and state court civil litigation. Mr. Marinan's extensive exposure to branch, and compliance manual violations relating to both public arbitration/litigation, and industry representation. Plaintiff's counsel relating to a 13 million dollar Ponzi litigation involving the sale of unregistered securities, without a valid exemption. Mr. Marinan was appointed a public arbitrator for the NYSE and NASD, as well as appointment to the permanent chairperson list for the NYSE. He served as outside counsel to a large independent state agency with responsibility for being lead counsel on fiduciary fraud claims; guardianship and estate litigation; surety bond actions. He successfully brought to jdgment over 20 guardianship and estate accountings, several of which were multi-million dollar estates. Prior to practicing law, Mr. Marinan was a law enforcement officer with a large municipal police department. He received the following awards: three Lifesaving Awards (1984, 1985 & 1986); Combat Cross (1990); Medal of Merit (1992). Mr. Marinan is admitted as a member to the New Jersey Police Honor Legion (1990).

Lynn M. Mucenski-Keck
has over 20 years of experience in the accounting profession and serves as the lead of federal tax policy at Withum. She specializes in federal tax policy, federal clean energy credits and mergers and acquisitions. Her interactions with Congress and various DC advocacy groups give her real-time insights into potential federal tax legislation, enabling her to help clients implement forward-looking tax planning, exit strategies and cash optimization. Ms. Mucenski-Keck provides clients and Withum team members with the latest information on new federal tax legislation and treasury guidance. She offers in-depth analysis on changing legislation, particularly regarding research and experimental expenditures and clean energy credits. Additionally, Ms. Mucenski-Keck assists various clients in maximizing clean energy credits and provides strategies to optimize cash flow through the purchase or sale of clean energy credits. She is a licensed certified public accountant in New York and has a masters degree in taxation. Before joining Withum, Ms. Mucenski-Keck worked for six years at a Big-4 public accounting firm, including a three-year international rotation at a U.S. Corporate tax desk in Brussels, Belgium. She also oversaw the European region for a Fortune 500 global eyecare company. Ms. Mucenski-Keck's diverse background makes her a valuable asset to the Firm and its clients. She is a recognized voice in the profession. Ms. Mucenski-Keck presents on federal tax topics at multiple venues, including the AICPA conference, New Jersey and Oregon CPA associations, and with the Stafford Group. Since 2021, she has been a tax contributor for Forbes. and has also published articles in The Tax Advisor and The Journal of Accountancy. Additionally, Ms. Mucenski-Keck has testified before the House of Representatives Committee on small business, and serves as a tax advisor to the S corporation and the American Council of Engineering Companies. As a member of the AICPA, she is part of the ESG and S Corporation Tax Technical Committees. Ms. Mucenski-Keck also serves as a tenured undergraduate and graduate associate tax professor at a local university and is involved in the Diocesan and St. John's finance committees in Rochester, New York.

Frank A. Custode
is a partner at Mandelbaum Barrett PC's labor and employment practice group and litigation practice group. As a seasoned employment law practitioner, he has diverse and wide-ranging experience. Over the course of two decades, Mr. Custode's extensive experience includes the representation of individuals as a solo practitioner and the representation of employers as a management-side attorney at a global labor and employment defense firm. She concentrates his practice in employment litigation and employment law counseling. As a litigator, Mr. Custode represents clients in a wide variety of employment law matters, including cases involving claims of workplace discrimination and retaliation, wrongful termination, workplace harassment and hostile work environment, whistleblower retaliation, family and medical leaves of absence, workplace accommodation requests, and breach of restrictive covenants. As a counselor, he provides advice to businesses of all sizes and individuals on a large scope of employment law issues, including the negotiation of employment-related agreements such as employment, restrictive covenant, and severance agreements, employee discipline and termination, preventative counseling, wage and hour laws, the review and preparation of handbooks, policies, and agreements, and workplace investigations involving claims of discrimination, retaliation, and harassment. Michael J. Fekete
is a partner with Montgomery McCracken Walker & Rhoads LLP, where he is a member of the firm's litigation department, as well as their real estate practice. He regularly represents individuals, business owners and companies, both publicly and privately owned, in litigation involving breach of contract, breach of warranty, consumer fraud claims, real estate, and restrictive covenants. Mr. Fekete has extensive experience representing publicly-owned REITs, developers, commercial landlords, and court-appointed receivers in Pennsylvania, New Jersey and New York in all facets of real estate, including lease drafting and negotiation, and commercial tenancy matters. He is a member of the New Jersey State and Pennsylvania bar associations, and serves on the New Jersey District IV Ethics Committee. Mr. Fekete earned his B.A. degree at the University of Maryland, College Park and his J.D. degree at Rutgers Law School.
