Waheeda Ghani
is an associate with Zimmerman, Kiser & Sutcliffe, P.A. in Orlando, Florida. She supports the corporate and real estate teams at Zimmerman Kiser Sutcliffe, and advises clients on structuring tax-efficient transactions. Ms. Ghani also specializes in the tax controversy practice. She guides clients through complex reorganizations, such as Section 368(a)(1)(F) reorganizations and partnership deconstructions for affordable housing projects — and represents individuals and businesses in audits, penalty-abatement hearings, and criminal tax matters. Before joining ZKS, Ms. Ghani served in both private and government roles, developing a dual practice in transactional and controversy work. Ms. Ghani advised clients on cross-border mergers and acquisitions, foreign tax credit planning, and debt-equity characterization; structured Section 368(a)(1)(F) reorganizations and novel transactions arising from the Tax Cuts and Jobs Act; and represented taxpayers in audits and appeals before the IRS Office of Appeals and the U.S. Tax Court. A standout achievement includes securing a favorable settlement for an embassy employee facing 18 years of back-tax liability. Sheila-Marie Finkelstein, Esq.
, Esq. has an LLM in Taxation, is a Certified Specialist in Estate Planning, Trust & Probate Law by the California Board of Legal Specialization, and is a Veterans Affairs Accredited Attorney. She is a licensed attorney in California and Nevada. She founded and runs the Pro Bono Estate Clinic at Veterans Legal Institute, preparing approximately 100 complete estate plans annually for veterans in need. Ms. Finkelstein, has been published multiple times in the American Bar Association national magazines and Orange County Lawyer, and teaches several continuing legal education courses through NBI, Orange County Bar Association, CEB, and CalVet. She frequently speaks at public and private events on the benefits of proper estate planning. Ms. Finkelstein is currently a Senior Counsel at Klinedinst Attorneys, in Orange County, Los Angeles, and Las Vegas. Prior to joining Klinedinst, Ms. Finkelstein founded AHAVA Law, P.C.™ where Estate Planning is Planning for Life...with your LOVE!™ Ms. Finkelstein is passionate about education and veterans. Kristy Caron
is a partner with the Atlanta office of Fox Rothschild LLP. She has a diverse practice in which she provides strategic advice to individuals and businesses on corporate, tax and real estate matters. Ms. Caron has significant experience in structuring and assessing the tax benefits and risks of real estate and other investment transactions, advising on corporate governance and organizational matters, and representing individuals and entities in state and federal tax examination and litigation proceedings. She is particularly well-versed in tax credits and charitable land donations. Ms. Caron is a contributor to the Fox Rothschild Tax Controversy & Financial Report blog. Prior to joining Fox Rothschild, Ms. Caron was vice president for due diligence and associate general counsel at a Georgia-based real estate and business consulting firm. Before that, she was a tax attorney with a well-respected regional law firm in Atlanta and served as in-house counsel for a land and natural resources consulting firm. Ms. Caron was a staff attorney in civil and criminal matters for the Colorado Court of Appeals, where she previously served as a law clerk to Judge Marsha Piccone and Judge John R. Webb. She also clerked for several civil judges in Connecticut Superior Court. Ms. Caron is a contributing author to the National Income Tax Workbook of the Land Grant University Tax Education Foundation. She earned her B.A. degree from University of Connecticut, her J.D. degree from Vermont Law School and her LL.M. degree in taxation from University of Denver.

Norman S. Newmark
is a partner in McCarthy, Leonard & Kaemmerer, L.C., a firm based in Town and Country, St. Louis County, Missouri. He focuses his practice on tax and related corporate matters, probate, estate planning and business succession. Mr. Newmark represents individuals and businesses in tax controversies before the Internal Revenue Service, state tax departments, and various tax tribunals including the U.S. Tax Court. He also represents individuals and corporate trustees in probate administration and litigation cases. Mr. Newmark has published articles in periodicals such as The Banking Law Journal, Journal of the Missouri Bar, University of Missouri's Business, Entrepreneurship & Tax Law Review, and Oklahoma Bar Journal; on various tax related topics including mergers and acquisitions, the new IRS audit and collection rules for partnerships, powers of appointment in estate planning, interstate sales and use taxation after the Supreme Court decision in South Dakota v. Wayfair, and the tax aspects of federal healthcare laws. He is a frequent lecturer at local and national continuing education events for attorneys and accountants. As a member of The Missouri Bar Probate and Trust Division, Mr. Newmark drafted key provisions of the Missouri Uniform Powers of Appointment Act enacted into law by the Missouri General Assembly. He provides pro-bono legal services to several charities and was listed in the Missouri Bar Pro Bono Wall of Fame for 2011 and 2013 for his charitable efforts. John G. Hodnette
works as tax attorney with Fox Rothschild LLP's national tax practice to ensure clients reach their goals in the most advantageous and tax-efficient manner possible. His tax law proficiency allows him to advise clients on all aspects of business taxation, including structuring merger and acquisition transactions; resolving partnership, S corporation and C corporation tax issues; and researching complex income taxation matters. Mr. Hodnette has experience in the legal challenges that arise throughout the entire life cycle of businesses, from formation to operation, succession planning and exits. He also has drafted and negotiated complex business documents such as asset purchase agreements for companies and individuals, as well as drafted estate plans that help maximize tax benefits for high-net-worth individuals. Additionally, Mr. Hodnette represents clients before the IRS and the North Carolina Department of Revenue to settle tax debts and resolve tax audits, collection matters and other tax controversy. Prior to joining Fox Rothschild, he was special counsel at a Charlotte law firm. Before that, Mr. Hodnette practiced at a boutique law firm in Charlotte and was previously an M&A tax associate at KPMG. He earned the Book Award in international taxation while earning his LL.M. degree in taxation, and also served as a student editor of the Florida Tax Review. While attending law school, Mr. Hodnette was a staff member of the Wake Forest Journal of Business & Intellectual Property Law and earned the CALI award in mergers and acquisitions and partnership taxation.

Justin E. Jesse
is a member of Kirton McConkie's Tax and Estate Planning section. His practice includes both U.S. federal tax planning and IRS tax controversy. Mr. Jesse regularly works with individuals and businesses, large and small, in a variety of industries. He has experience with a broad spectrum of U.S. domestic and international tax issues, including internal corporate restructurings, provisions of the Tax Cuts and Jobs Act of 2017 (TCJA), tax accounting, R&D credits, corporate reorganizations, foreign tax credits, tax withholding and reporting requirements, tax treaty provisions, transfer pricing, and nuclear decommissioning tax issues. Mr. Jesse has represented clients during all phases of tax controversy, including U.S. Senate hearings, IRS audits, IRS appeals conferences, and U.S. Tax Court and Court of Federal Claims litigation. Prior to joining the firm, he was an associate area counsel with the IRS Office of Chief Counsel in Washington, DC. Before his time with the IRS, Mr. Jesse was a tax partner in the D.C. office of McDermott Will & Emery LLP. He earned his B.A. degree, cum laude, from Brigham Young University and his J.D. degree, cum laude, from Duke University School of Law.

Ross E. Poulsen
is a member of Kirton McConkie's Tax and Estate Planning section, where his practice focuses on federal, state, and local tax planning and corporate and partnership structuring. He has extensive experience advising clients on transactions such as stock and asset acquisitions, tax-free mergers and reorganizations, dispositions, restructurings, and cross-border transactions. Before joining Kirton McConkie, Mr. Poulsen practiced as a transactional tax attorney in the Washington, D.C. office of a large international law firm. Earlier in his career, he served as an assistant to the branch chief in the IRS Office of Associate Chief Counsel (Corporate), where he drafted rulings, income tax regulations, and other published guidance on corporate transactions and consolidated return matters. Mr. Poulsen is the lead author of Tax Management Portfolios, Corporate Separations, No. 776-5 and Corporate Acquisitions - D Reorganizations, No. 772-5, a former adjunct professor of taxation at Georgetown University Law Center and George Mason School of Law, and a frequent speaker for professional organizations, including the ABA and DC Bar, on transactional tax topics. He is also an active member of the DC Bar's Tax Community. In addition to his transactional practice, Mr. Poulsen has maintained a strong pro bono commitment, representing clients in family court and immigration proceedings.
