Gianfranco A. Pietrafesa
is a partner in the law firm of Archer & Greiner P.C. in Hackensack, New Jersey, where he is a corporate and M&A lawyer. His practice includes business formation, corporate governance, mergers and acquisitions, and protection of business information. Mr. Pietrafesa is a former chairman of the Board of Directors of the Business Law Section of the New Jersey State Bar Association. He served on the select committee that drafted the New Jersey Revised Uniform Limited Liability Company Act, and received the 2012 Distinguished Legislative Service Award from the New Jersey State Bar Association in recognition of his work on and advocacy of the law. Mr. Pietrafesa has lectured extensively on the topics of corporations, LLCs, contract drafting, and legal ethics. He received the2020 Alfred C. Clapp Award for Excellence in Legal Education from the New Jersey Institute for Continuing Legal Education. He has taught the mergers and acquisitions transactional skills course at Seton Hall University School of Law and the business organizations course at Fairleigh Dickinson University. Mr. Pietrafesa is the author of numerous articles on corporate law, LLCs, contract drafting, litigation, and legal ethics. He served on the Editorial Board of New Jersey Lawyer Magazine for 15 years. Mr. Pietrafesa earned his J.D. degree from Seton Hall University School of Law, where he was an editor of the Seton Hall Legislative Journal; and his B.S. degree in accounting, summa cum laude, from Fairleigh Dickinson University.

Douglas L. Lineberry
is a principal with the Greenville, South Carolina office of Offit Kurman. Whether he is assisting clients with the protection of intellectual property through patent, trademark, and copyright prosecution, or intellectual property litigation, he focuses on building relationships founded on trust and constant communication. Mr. Lineberry successfully prosecutes patent applications for mechanical, medical, and chemical technologies. He helps clients with establishing and protecting trademark portfolios, guarding against improper third-party use, and conducting enforcement actions. Mr. Lineberry advises his clients on all matters involving intellectual property, trade secrets, branding and marketing issues, and contractual and other business matters. He also works with mid-level companies within the biotech industry. This gives Mr. Lineberry the opportunity to use his broad connections to help bring their inventions to market safely while protecting their intellectual property every step of the way. He is a member of the South Carolina Bar, American Bar Association, Greenville Bar Association, Trademark & Copyright Law Association and The Carolina Patent Trademark Copyright Law Association. Mr. Lineberry earned his B.A. degree from Emory & Henry College and his J.D. degree from Mercer University School of Law.

Gary A. Laurie
is the founder of a full-service entertainment and intellectual property law firm. For over 15 years, the firm has been protecting and enforcing its client's intellectual property rights as well as negotiating content deals on both the production and talent side of the table. With a focus on entertainment, intellectual property, and corporate matters, the firm is in a position to offer a full range of services to artists, businesses and individuals. The firm's intellectual property practice provides a complete range of transactional services for domestic and international companies. In addition to registering trademarks and copyrights throughout the United States and abroad, the firm assists clients in exploiting their intellectual property rights as well as counsels clients concerning the validity and valuation of intellectual property. Mr. Laurie is a past chair of the Entertainment Arts and Sports Law Section of the New Jersey State Bar Association. He also teaches courses in contract, business and entertainment law at Montclair State University, as well as Music Business Law at New Jersey City University. Mr. Laurie is a frequent lecturer on entertainment and intellectual property topics and provides volunteer services for the Pro Bono Partnership. He earned his bachelor's degree from Montclair State University and his J.D. degree from Seton Hall University.

Daniel J. Gershman
is an associate in the corporate and securities practice group of Falcon Rappaport & Berkman LLP (FRB). His legal practice focuses on domestic and cross-border corporate and securities law matters and related tax issues. Mr. Gershman also works closely with FRB’s taxation and private client groups, assisting with structuring and compliance matters involving closely held businesses, real estate, and trusts and estates. While in law school, he participated in Hofstra Law’s Community and Economic Development Clinic where he assisted in the representation of non-profits, small businesses, and other start-up ventures with issues related to commercial transactions, corporate compliance, corporate finance, employment law, and real estate. In addition to corporate and securities law matters, Mr. Gershman’s legal interests include the practice and policy surrounding emerging technologies such as cryptocurrencies, NFTs, artificial intelligence, and data privacy and security. He is admitted in states of New York and Texas, and the District of Columbia. Mr. Gershman earned his B.S. degree from Rosemont College and his J.D. degree from Maurice A Deane School of Law at Hofstra University.

Michelle S. Kabel
is an associate attorney in Falcon Rappaport Berkman LLP's taxation, private client, and digital assets groups. Her tax planning practice focuses on taxation as it relates to Section 1031 and 1033 exchanges, Qualified Opportunity Zone investments, digital assets, corporate and partnership reorganizations, wealth transfer among families, and private equity fund formation. Ms. Kabel's tax controversy practice includes representing clients before the Internal Revenue Service, New York State Department of Taxation and Finance, and New York City Department of Finance; matters include disputes related to income, franchise, and real property transfer taxes. She earned her J.D. degree, magna cum laude, from Quinnipiac University School of Law and her B.A. degree in Spanish, summa cum laude, from Fairfield University. Ms. Kabel is an active member of the State and Local Tax Committee of the New York City Bar Association.

James M. Black, II
is a member of Falcon Rappaport & Berkman LLP's corporate and securities group. He has over 35 years of experience in corporate and government compliance, government contracts, trade regulation, and information technology. Mr. Black has been in-house counsel for most of his career, including Northrop Grumman's Data and Information Division, CA Technologies, where he served as vice president, senior counsel, and associate chief compliance officer; and at Overseas Military Sales Group where he was general counsel and chief compliance. Immediately prior to joining FRB, he was a partner at Silverman Acampora, where he led their government contracts and compliance group. A frequent lecturer on corporate and government compliance issues, Mr. Black is an adjunct professor at the Maurice Deane School of Law where he teaches corporate compliance and ethics; and has served as a visiting professor at the Naval Postgraduate School, where he taught courses in government contracts. He is a member of the American, New York and Nassau County bar associations. Mr. Black is a member of the New York State Bar Association Committee on Attorney Professionalism and the Nassau County Bar Association Ethics Committee. He is vice president for North America, a United Nations Delegate of the World Jurist Association, and a member of the Board of Directors of the World Law Foundation, as well as member of the Board of Directors of the Long Island Import Export Association.

Richard E. Weltman
is recognized by his peers as an aggressive litigator and skilled negotiator with more than 45 years experience handling diverse matters. He engages in the general practice of law with special concentration in the areas of bankruptcy reorganization, insolvency and creditors' rights, debtor protection, business litigation, shareholder, partner and limited liability company disputes, purchases and sales of businesses, arbitration, mediation and alternate dispute forums, general corporate counseling, commercial agreements and contracts of all types, technology and Internet law and e-commerce, and real estate transactions. Mr. Weltman earned his J.D. degree, cum laude, from Delaware Law School of Widener University. While in law school, he was elected to Moot Court Honor Society, and also served as Magister of Harrington Inn of Phi Delta Phi International Legal Fraternity. Mr. Weltman served as managing editor of The Delaware Journal of Corporate Law, the law review of Delaware Law School and a leading national legal publication focused on corporate governance, compliance and business law issues in general and Delaware corporation law in particular. He is a member in good standing of the bars of both New Jersey and New York, and is admitted to practice before the Third Circuit Court of Appeals and the U.S. District Courts for the Southern and Eastern districts of New York and the District of New Jersey. In addition, Mr. Weltman's active professional affiliations include the Bankruptcy Lawyers Bar Association, Commercial Law League of America, and the New York State (Member, Executive Committee, Business Law Section, and Committee on Internet and Technology Law), New Jersey State (Member, Bankruptcy Law Section) and American bar associations. He is also a member of Executive's Association of Greater New York. Mr. Weltman received his undergraduate degree in journalism from The Ohio State University in 1975. Prior to law school, he worked in advertising and public relations honing his writing skills and producing radio and television commercials for regional and national clients. Mr. Weltman brings to his law practice strong communication and negotiation skills and the ability to formulate creative win-win solutions that produce profitable results for his clients.

is an associate with the Garden City, New York office of Moritt Hock & Hamroff LLP. She concentrates her practice in all facets of secured lending matters. Matthew E. Foreman
co-chairs FRB's Taxation Practice Group and advises businesses on the tax effects of a variety of corporate transactions, including taxable and tax-free reorganizations, mergers, sales, and acquisitions. He designs and implements tax-efficient structures for U.S.-based businesses to expand abroad and invest in foreign joint ventures. Mr. Foreman drafts tax memoranda and opinions on a variety of subjects, including tax-free reorganizations, tax-efficient return of capital to owners, Qualified Small Business stock, and various state pass-through entity taxes. He defends clients from audits from the IRS and various state tax agencies, including appealing audit determinations. Mr. Foreman advises clients on a variety of tax issues related to cryptocurrencies, including initial coin offerings (ICOs), taxability of staking and air drops, and the imposition of Sales and Use taxes on the issuance of non-fungible tokens (NFTs). He drafts tax portions of Operating and Shareholder Agreements for businesses in different industries. Mr. Foreman has extensive experience in a variety of SALT issues, especially New York State residency audits and state sales and use tax nexus issues post-Wayfair. He started his career at Big 4 accounting firms where he advised Fortune 500 companies on a variety of tax matters. Mr. Foreman is active in the New York City Bar Association, where he is the Secretary of the State and Local Tax Committee, as well as a Member of the Task Force on Digital Technologies and the Emerging Companies and Venture Capital Committee. He volunteers as a Helpline Volunteer with Savvy Ladies, a 501(c)(3) non-profit organization that brings financial planning education to women. Mr. Foreman also hosts FRB's podcast, How Tax Works, where he unravels the complexities of tax law. He earned his B.S. degree, cum laude, from State University of New York at Albany, J.D. degree from Penn State Dickinson School of Law and LL.M. in Taxation from New York University School of Law.
