James M. Black, II
is a member of Falcon Rappaport & Berkman LLP's corporate and securities group. He has over 35 years of experience in corporate and government compliance, government contracts, trade regulation, and information technology. Mr. Black has been in-house counsel for most of his career, including Northrop Grumman's Data and Information Division, CA Technologies, where he served as vice president, senior counsel, and associate chief compliance officer; and at Overseas Military Sales Group where he was general counsel and chief compliance. Immediately prior to joining FRB, he was a partner at Silverman Acampora, where he led their Government Contracts and Compliance Group. A frequent lecturer on corporate and government compliance issues, Mr. Black is an adjunct professor at the Maurice Deane School of Law where he teaches corporate compliance and ethics; and has served as a visiting professor at the Naval Postgraduate School, where he taught courses in government contracts. He is a member of the American, New York and Nassau County Bar associations. Mr. Black is a member of the New York State Bar Association Committee on Attorney Professionalism and the Nassau County Bar Association Ethics Committee. He is vice president for North America, a United Nations Delegate of the World Jurist Association, and a member of the Board of Directors of the World Law Foundation, as well as member of the Board of Directors of the Long Island Import Export Association.

Kyle M. Lawrence
is a partner with Falcon Rappaport & Berkman LLP's corporate and securities practice group, and with the digital assets practice group. His practice is focused on corporate and private securities matters, serving clients as lead counsel on all types of corporate transactions including private placements, mergers, acquisitions, joint ventures, corporate finance, planning and strategies, licensing, manufacturing, supply, and distribution arrangements. Mr. Lawrence provides dedicated hands-on personal support to clients from negotiation to closing and beyond. In mergers and acquisitions transactions, he has regularly represented both buyers and sellers of businesses. Over the past 15 years, he has successfully closed numerous deals with business owners selling their businesses to strategic buyers, private equity funds, and private equity-backed strategic buyers both domestically and internationally. With respect to securities offering and financing transactions, Mr. Lawrence has significant experience representing both issuers and founders on the one hand, and investors on the other hand, giving him years of experience related to private securities offerings, venture capital, and similar startup financings, and FINRA and SEC regulatory issues. As part of the firm's digital assets practice group, his practice has expanded to include advising companies on blockchain, cryptocurrency, Web3, and NFT matters, with a focus on how the corporate and securities matters affect these types of projects. He earned his Bachelor of Arts degree, political science and English from Tulane University and his J.D. degree from Hofstra University. Mr. Lawrence is admitted to practice in New York.

Michelle S. Kabel
is an associate attorney in Falcon Rappaport & Berkman LLP's taxation, private client, and digital assets groups. Her tax planning practice focuses on taxation as it relates to Section 1031 and 1033 exchanges, Qualified Opportunity Zone investments, digital assets, corporate and partnership reorganizations, wealth transfer among families, and private equity fund formation. Ms. Kabel's tax controversy practice includes representing clients before the Internal Revenue Service, New York State Department of Taxation and Finance, and New York City Department of Finance; matters include disputes related to income, franchise, and real property transfer taxes. She earned her J.D. degree, magna cum laude, from Quinnipiac University School of Law and her B.A. degree in Spanish, summa cum laude, from Fairfield University. Ms. Kabel is an active member of the State and Local Tax Committee of the New York City Bar Association.

Hon. Ruth Bogatyrow Kraft
chairs FRB's Labor and Employment Practice Group. She has many years of experience in advising business organizations on all aspects of employment and labor law, including wage/hour disputes, misclassification, employment policies and procedures, and compliance with federal and state laws. Ms. Bogatyrow Kraft's practice is comprehensive, encompassing business strategy as well as litigation before governmental bodies and in the courts. She has successfully litigated and settled multi-million dollar employment class action suits, including prevailing wage, misclassification and unpaid overtime matters in the federal and state court systems, representing employers of all sizes and in a variety of industries. After a long career on the bench, most recently at the New York State Department of Labor, Ms. Bogatyrow Kraft practiced in and chaired the employment law group at a multi-state law firm. She began her career as an associate at one of the distinguished law firms in the country prior to joining the faculty of New York University, where she was recognized for excellence in the teaching of law, business ethics and medicine. Ms. Bogatyrow Kraft has maintained a specialized interest in healthcare organizations throughout her career. She is past president and a member of the executive board of the New York State Association of the Administrative Law Judiciary and president-elect of the Judges' and Lawyers' Chapter of Hadassah, receiving that organization's national leadership award. Active in the legal community, Ms. Bogatyrow Kraft is a board member of the Jewish Lawyers' Association, which conferred its Hon. Paul Widlitz Award on her for distinguished service on the bench. She has been recognized as a Long Island Power Woman in Business, a Top Lawyer and a Lawyer of Distinction in addition to having received the prestigious Super Lawyer designation in employment law, awarded by her peers to only five percent of those practicing in the field.

Matthew E. Foreman
co-chairs FRB's Taxation Practice Group and advises businesses on the tax effects of a variety of corporate transactions, including taxable and tax-free reorganizations, mergers, sales, and acquisitions. He designs and implements tax-efficient structures for U.S.-based businesses to expand abroad and invest in foreign joint ventures. Mr. Foreman drafts tax memoranda and opinions on a variety of subjects, including tax-free reorganizations, tax-efficient return of capital to owners, Qualified Small Business stock, and various state pass-through entity taxes. He defends clients from audits from the IRS and various state tax agencies, including appealing audit determinations. Mr. Foreman advises clients on a variety of tax issues related to cryptocurrencies, including initial coin offerings (ICOs), taxability of staking and air drops, and the imposition of Sales and Use taxes on the issuance of non-fungible tokens (NFTs). He drafts tax portions of Operating and Shareholder Agreements for businesses in different industries. Mr. Foreman has extensive experience in a variety of SALT issues, especially New York State residency audits and state sales and use tax nexus issues post-Wayfair. He started his career at Big 4 accounting firms where he advised Fortune 500 companies on a variety of tax matters. Mr. Foreman is the Secretary of the State and Local Tax Committee, as well as a Member of the Task Force on Digital Technologies and the Emerging Companies and Venture Capital Committee. He volunteers as a Helpline Volunteer with Savvy Ladies, a 501(c)(3) non-profit organization that brings financial planning education to women. Mr. Foreman also hosts FRB's podcast, How Tax Works, where he unravels the complexities of tax law. He earned his B.S. degree, cum laude, from State University of New York at Albany, J.D. degree from Penn State Dickinson School of Law and LL.M. in Taxation from New York University School of Law.

Michael S. Williams
is a partner with Falcon Rappaport & Berkman LLP's corporate and securities practice group and with the cannabis practice group. He has over ten years of experience specializing as a corporate and securities lawyer, and acting as outside counsel and a trusted adviser to public and private companies, individuals, and investment funds. Mr. Williams regularly counsels private companies and individuals on a variety of legal issues. He also has extensive experience representing publicly traded companies with respect to their ongoing disclosure requirements under the Securities and Exchange Act of 1934 and compliance with the Securities Act of 1933. Prior to joining FRB, Mr. Williams was an associate with an AMLaw 100 firm, and prior to that was an associate with a prominent Long Island based law firm. He earned his B.A. degree from SUNY Albany and his J.D. degree from Albany Law School.

Antar P. Jones
is the founder of the Law Office of Antar P. Jones, PLLC located in Brooklyn, New York. A significant portion of his practice is devoted toward his providing advice and counsel to fiduciaries, heirs and beneficiaries on complex estate administration and tax matters. Mr. Jones's practice involves many complex post-mortem taxation issues. In addition to having advised clients regarding insurance trusts, he has advised fiduciaries on taxation matters concerning how living trusts are taxed once the grantor has passed. Also, Mr. Jones has done extensive work concerning the annuity reporting requirements of Qualified Domestic Trusts, in addition to how specifically marital deductions operate with respect to such trusts where there is a foreign spouse from a country that has a tax treaty with the United States. He is a member of the New York State Bar Association, where he is active in the Estate and Trust Administration Committee of the Trusts and Estates Section. Mr. Jones earned his LL.M degree in taxation, from the graduate program in taxation at New York Law School. He earned his J.D. degree from the New York Law School.

Daniel J. Gershman
is an associate in the Corporate and Securities Practice Group of Falcon Rappaport & Berkman LLP (FRB). His legal practice focuses on domestic and cross-border corporate and securities law matters and related tax issues. Mr. Gershman also works closely with FRB's Taxation and Private Client groups, assisting with structuring and compliance matters involving closely held businesses, real estate, and trusts and estates. While in law school, he participated in Hofstra Law's Community and Economic Development Clinic where he assisted in the representation of non-profits, small businesses, and other start-up ventures with issues related to commercial transactions, corporate compliance, corporate finance, employment law, and real estate. In addition to corporate and securities law matters, Mr. Gershman's legal interests include the practice and policy surrounding emerging technologies such as cryptocurrencies, NFTs, artificial intelligence, and data privacy and security. He is admitted in states of New York and Texas, and the District of Columbia. Mr. Gershman earned his B.S. degree from Rosemont College and his J.D. degree from Maurice A Deane School of Law at Hofstra University.
