Overview
Read, Draft, and Close Commercial Loan Documents With Confidence
Your client just forwarded a 90-page credit agreement and asked you a deceptively simple question: is this a good deal? Commercial loan documents are dense, lender-drafted, and full of provisions that look boilerplate right up until they are triggered. Miss a financial covenant definition, overlook a cross-default, or misjudge elsewhere, and your client can find itself in technical default on a loan it is paying perfectly well.
This foundational program walks you through the commercial lending transaction from term sheet to post-closing, so you know exactly what each document does, which terms are genuinely negotiable, and how the banking rules behind the deal shape what the lender can and cannot agree to. You will leave able to read a credit agreement with a practiced eye, spot the provisions that create real client risk, and hold your own across the table from experienced lender's counsel. Build the foundation your practice needs - register today!
- Get oriented to the commercial lending landscape, the key players, and the core deal documents.
- Walk through a commercial loan agreement clause by clause and know what each provision does.
- Understand how security agreements, UCC filings, and guaranties actually protect the lender.
- Learn to spot the covenant and default provisions most likely to trip up your client.
- Get a plain-English briefing on the banking regulations that drive lender behavior.
- Follow a closing checklist that keeps due diligence, opinions, and post-closing items on track.
- Identify and resolve the ethical issues that surface in commercial lending engagements.
Abbreviated Agenda
