Michael T. Donovan
is chairman of the tax department at Lewis Rice LLC. He has significant experience in all aspects of tax planning for partnerships and LLCS, corporations, real estate, REITs and funds. Mr. Donovan regularly advises clients in connection with M&A transactions, real estate projects and complex partnership issues. He also counsels exempt organizations on issues relating to tax-exempt status, intermediate sanctions and joint ventures with for-profit entities. Mr. Donovan has spoken and written extensively on a variety of tax topics. He is a member of the American Bar Association (Tax Section and chair), and International Lawyers Network (Tax Group). Mr. Donovan earned is B.A. degree, magna cum laude, from the University of Notre Dame, his J.D. degree from the University of California at Los Angeles School of Law and his LL.M. degree in taxation from Georgetown University Law Center.

Christopher J. Bonner
is special counsel with Barclay Damon, LLP, where he practices in the areas of corporate law, corporate and municipal securities, and banking regulation. His clients include large and small businesses, banks, startup enterprises, buyers and sellers of businesses, and securities investors. Mr. Bonner organizes corporations, LLCs and other alternative entities, and represents them on a continuing basis with various kinds of business contracts. He represents buyers and sellers of businesses, from the initial planning stage through to the final closing. Mr. Bonner is a member of the New York State Bar Association (Business Law and Tax Law sections) and American Bar Association (Business Law and Taxation sections). He earned his B.A. degree from Williams College, his J.D. degree from Harvard Law School and his LL.M. degree in taxation from New York University.

Randall O. Reder
is the principal of Randall O. Reder, P.A. His law practice emphasizes business and real estate law including title law, easements, and mortgage foreclosure defense. Mr. Reder's practice also includes appellate, estate planning and probate law. He has lectured on several times before about limited liability companies. Mr. Reder earned his B.S. degree from the University of South Florida and his J.D. degree from Florida State University. He served as senior attorney for seven years for Chief Justice Joseph A. Boyd, Jr. Mr. Reder is a contributing writer to The Supreme Court of Florida and Its Predecessor Courts, 1821-1917. He is the author of the chapter on S-corporations published by The Florida Bar in its manual Florida Small Business Practice.

Michael J. Duffy
is a Partner in Montgomery McCracken Walker & Rhoads LLP's Business Department. He focuses his practice on general corporate matters, with a concentration on government contracting, intellectual property, finance, consulting, employment, real estate, and corporate governance. Mr. Duffy has extensive experience with a wide variety of business transactions, from initial contact with transaction targets and indications of interest, through to closing and post-transactional events. He has represented businesses in a broad range of industries including pharmaceutical distribution and research, technology, construction, and real estate, in matters of negotiating and drafting organizational documents, distribution agreements, independent contractor agreements, construction agreements and purchase agreements, as well as trademark applications with the U.S. Patent and Trademark Office, international trademark registrations through WIPO and other intellectual property-related matters. Prior to joining Montgomery McCracken, Mr. Duffy was a senior associate at a regional law firm, a former business owner and the corporate training program director of UNESCO Vietnam, gaining international business and legal experience while developing the country's connections to the transnational corporate community. He graduated undergrad from Rutgers College, and earned his law degree from Rutgers School of Law. During law school, Mr. Duffy competed in the Annual ICC International Mediation Competition in Paris, France, placing in the top 30 competitors. Additionally, he served as student assistant for the New York State Bar Association Taskforce on New York Law in International Matters.

Michael J. Gorby
is a founder and partner with Gorby Peters & Associates, LLC. He is a nationally recognized leader in complex corporate disputes, professional negligence cases, and liability issues that arise for property owners and managers, such as hotel chains, restaurants, shopping centers, apartment complexes, office buildings and other public venues. Since 1998, Mr. Gorby has served as the program chair for the Institute of Continuing Legal Education in Georgia (an affiliate of the University of Georgia), on the topic of premises liability. He is also the author of a popular legal treatise, Premises Liability in Georgia, which is published by Thomson Reuters/West, and which is now in its third edition. Mr. Gorby serves as an instructor/lecturer for Georgia Tech Procurement Assistance Center (GTPAC) in the area of procuring government contracts, and is also a registered mediator. He earned his B.A. degree from Georgia State University and his J.D. degree from the University of Georgia School of Law.

Richard J. Joyce
is an attorney of counsel with Nalli, Elias & Associates, P.C. His practice areas are contract law, contract drafting, review and negotiation; small business law, business formation and organizational documents; business governance and administration; as well as dissolution and conflict management; and public governance, public ethics, government contracts, and infrastructure management and regulation. Mr. Joyce served as adjunct faculty at the University of Pittsburgh, teaching legal issues in public service. He is a member of the Beaver County and Pennsylvania bar associations. Mr. Joyce earned his B.S. degree from Indiana University of Pennsylvania, his J.D. degree from the Duquesne University School of Law and his MPPM degree from the University of Pittsburgh - Graduate School of Public and International Affairs (GSPIA).
