Speaker bio
Sara M. Langan
focuses her practice on tax equity financed transactions, including securing tax benefits from federal and state low-income housing, historic rehabilitation, and renewable energy tax credits. She has several years of experience representing investors, syndicators, and developers in connection with projects financed with housing tax credits. Ms. Langan has experience developing renewable energy, including structuring transactions involving utility-grade solar, battery storage, and electric vehicle charging stations utilizing federal tax credits, state tax credits, and federal energy grants. She has been involved at all levels of equity transactions, including the negotiation of operating agreements, loan documents, purchase agreements, power purchase agreements, and construction contracts; structuring equity investments and issuing state and federal tax opinion letters to equity investors; and the drafting of subscription documents and private offering memoranda for equity investments in multi-investor upper-tier funds. Ms. Langan has experience with the taxation of partnerships, non-profit organizations, LLCs, and corporations. She has also been involved with the disposition, restructuring, and recapitalization of distressed tax credit properties toward the end of a project lifecycle. In addition, Ms. Langan has experience with employment tax matters, inter-company tax allocation, and financial reporting. She earned her B.S. degree, summa cum laude, from Texas A&M University and her J.D. degree from the University of Nebraska College of Law where she was the managing editor of Nebraska Law Review. Ms. Langan is admitted to practice in Illinois and Nebraska.
Speaker bio
Heather L. Preston
focuses her practice on transactional and business tax matters. She has significant experience in tax matters associated with mergers and acquisitions, reorganizations, restructurings, investment fund formation, qualified opportunity funds, cross-border transactions, partnerships and joint ventures, and REITs. Ms. Preston also has significant experience in tax credit equity transactions for renewable energy projects and regularly advises clients about the qualifications for various renewable energy-related credits. In addition, she advises clients and companies in connection with their equity incentive plans. Ms. Preston earned her B.S. degree at Pennsylvania State University and her J.D. degree, suma cum laude, from the University of Mississippi School of Law. She is admitted to practice in California and Georgia.
