Ilya Lipin
is the managing director and Philadelphia state and local tax practice leader at BDO USA, LLP. He has more than 12 years of state and local tax consulting experience in multi-state income taxes, sales and use taxes, tax controversy, compliance and filing methodologies, and various state and local tax aspects that arise from mergers and acquisitions or restructuring transactions. Mr. Lipin advises clients on potential state and local tax risks and exposure, while simultaneously identifying tax savings and refund opportunities. He has assisted many businesses, including U.S. inbound companies, in determining their nexus footprint, taxability of their products and services, and helped them obtain voluntary disclosure agreements (VDAs) in order to bring them into state tax compliance. Additionally, Mr. Lipin has successfully represented clients before Pennsylvania Board of Appeals, Pennsylvania Board of Finance and Revenue, and other state and local administrative tax agencies. Mr. Lipin earned his B.A. degree from Drew University, his J.D. degree from Western Michigan University Cooley Law School, and his M.B.A. degree from Villanova University School of Business. He also has his LL.M. degree in taxation from Villanova University School of Law. Mr. Lipin has his tax controversy certificate from Villanova University School of Law and his state and local taxation certificate from Georgetown University Law Center. He is a member of the Pennsylvania, New Jersey State and Massachusetts bar associations; Philadelphia Bar Association, secretary of the Tax Section, Tax Council member, past chair of the State and Local Tax Committee; Pennsylvania Bar Association, Tax Council member TEI, State and Local Tax Committee member; and the American Bar Association, State and Local Tax Committee member; and editor of Connexus SALT Publication.

Bruce Bronster
is a renowned hospitality and real estate attorney in Manhattan, as well as a restaurant industry veteran. He started washing dishes in restaurants as a teenager, and through his law practice in New York, he continues to serve the hospitality industry today. Most recently, Mr. Bronster has been working to help restaurants throughout New York navigate the legalities of the coronavirus pandemic and the executive orders issued in response thereto. He is also the founder of Bronster Cares, a pro bono initiative to provide free legal assistance to hospitality workers affected by the pandemic. Mr. Bronster is an active member of the Independent Restaurant Coalition and continues to advocate for the future of restaurants and restaurant workers. He assists new and existing restaurants, food halls, hotels and food purveyors navigate business formation, real estate and leasing issues, intellectual property, employment issues, ADA compliance, food and beverage consulting, licensing, corporate transactions, contract issues and bankruptcy. Mr. Bronster’s legal practice also focuses on litigation, and corporate and general business advice. He is admitted to practice law in New York, New Jersey and the District of Columbia; and before U.S. District Court for the Southern and Eastern districts of New York. Mr. Bronster earned his B.S. degree in accounting, magna cum laude, from New York University in 1987; his J.D. degree from New York Law School in 1991; and his M.B.A. degree from Columbia University in 1998. He is a member of the New York City Bar Association's Hospitality Law Committee.

Alina Gluzman
is an associate in the litigation, foreclosure and real estate practice group at Bronster LLP. She specializes in residential and commercial real estate transactional matters, including acquisitions, sales, construction/development, and financing. Additionally, Ms. Gluzman is actively involved in litigation matters including tax liens, mortgage foreclosures, and real estate related disputes. She holds a Juris Doctor degree from Elisabeth Haub School of Law at Pace University. During law school, Ms. Gluzman was the executive productions editor of Pace Law Review Journal. Showcasing her exceptional oral advocacy skills and legal acumen, she earned her place amongst the top finalists in the 2020 Louis V. Fasulo Moot Court Competition and was a semi-finalist in the 2021 Advanced Appellate Moot Court Competition. A former summer associate at Bronster LLP, Ms. Gluzman rejoined the firm after passing the bar exam. She has prior experience as a legal intern for the Richmond County District Attorney's Office, specifically within the Narcotics and Investigations Bureau Unit. Additionally, Ms. Gluzman accumulated over seven years of experience working as a real estate paralegal and further solidified her expertise through her role as a title closer.

Bozena M. Diaz
is chair of the firm's tax department, and a member of the corporate and bankruptcy and creditors' rights practice groups. Her experience includes advising on the federal income tax aspects of mergers and acquisitions, spin-offs and other divestitures. Ms. Diaz's capability also encompasses tax advice with respect to business and real estate joint ventures, restructurings and workouts, and taxable and tax-free reorganizations. She is well known for her expertise in the area of qualified opportunity zones, and is a frequent speaker on the topic. Ms. Diaz regularly advises on the various tax aspects of renewable energy projects, including structuring power purchase transactions, tax equity flips and lease arrangements. She also has experience handling tax controversy matters and representation of clients before the IRS. Ms. Diaz counsels clients with respect to all aspects of employee benefits under the Internal Revenue Code of 1986 and the Employee Retirement Income Security Act of 1974 (ERISA), including the design, administration, compliance and termination of qualified plans, as well as on issues of ERISA fiduciary responsibilities and benefits issues that arise in connection with merger and acquisition and joint venture transactions. She also advises with respect to structuring nonqualified deferred compensation arrangements and equity compensation plans, and in negotiating and drafting employment and severance agreements. Ms. Diaz is an Executive Committee member of the Tax Section of the New Jersey State Bar Association, member of the New Jersey State Bar Association's International Tax Committee, and member of the Tax Section of the New York State Bar Association. She is fluent in Polish and is conversational in Spanish.

Allen Buckley
is an attorney and certified public accountant with Allen Buckley LLC in Atlanta. He practices in the areas of employee benefits (including pension and welfare benefits); executive compensation; ERISA and HIPAA; taxation, including IRS and Georgia controversy and collections matters; IRAs; complex returns; planning; whistleblower matters; estate (and lifetime) planning and general business planning, including (if desired) analysis of impacts of actions on entitlement eligibility, administrative law, litigation (often handled with one or more other attorneys) with respect to all of the above and minority shareholder/member representation; and general business law, including contracts and entity formation and dissolution. Mr. Buckley is the author of a host of articles on employee benefits and tax topics. He earned his B.A. degree from Kent State University, his J.D. degree from University of Georgia, and his LL.M. degree in taxation from the University of Florida.
